These Terms of Service ("Terms") govern your access to and use of the Aperon, Inc. ("Aperon," "we," "us") website at aperontrials.com (the "Site"). They apply to visitors of the public Site. They do not govern Aperon's platform or other products, which are provided under a separate written agreement. By using the Site, you agree to these Terms. If you do not agree, do not use the Site.

1. Relationship to other agreements

If you or your organization has a signed Master Services Agreement, order form, or similar written agreement with Aperon (a "Customer Agreement"), that agreement, not these Terms, governs your use of Aperon's platform and related services. These Terms apply only to the Site.

2. Using the Site

The Site is a public marketing website. It does not provide accounts, logins, or access to Aperon's platform. You may use the Site for lawful purposes only. You will not, and will not allow others to:

• Interfere with or disrupt the Site or the systems that host it, or introduce malware or other harmful code;
• Attempt to gain unauthorized access to the Site or related systems, or probe, scan, or test their vulnerabilities without our written permission;
• Scrape or harvest data from the Site by automated means, or use automated access in a way that places an unreasonable load on the Site, except through interfaces we provide;
• Use the Site to violate any law or to infringe anyone's rights;
• Copy, modify, distribute, or reuse Site content except as these Terms allow.

We may suspend or block access that we reasonably believe violates this section or threatens the security of the Site.

3. Information only

Content on the Site is general information about Aperon. It is not medical, legal, regulatory, or other professional advice, and it is not an offer to provide any product or service. We may change or remove content at any time without notice.

4. Intellectual property

Aperon and its licensors own the Site and its content, including text, graphics, logos, and design. You may view and print pages for your own non-commercial use. You may not otherwise copy, modify, distribute, or reuse the content without our written permission. If you send us feedback or suggestions about the Site, we may use them without obligation to you.

"Aperon" and the Aperon logo are trademarks of Aperon. Other names and logos on the Site belong to their respective owners, and their appearance does not imply endorsement.

5. Privacy

Our Privacy Policy explains how we handle information when you visit the Site or contact us.

6. Third-party links and services

The Site may link to or rely on third-party websites and services, including font providers. We do not control them, and we are not responsible for their content, policies, or practices. Your use of them is governed by their terms.

7. Disclaimers

THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, APERON DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) APERON WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SITE, EVEN IF ADVISED OF THEIR POSSIBILITY; AND (B) APERON'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED US$100. SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS, SO THEY MAY NOT ALL APPLY TO YOU. THESE TERMS DO NOT LIMIT LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.

9. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. The state and federal courts located in Suffolk County, Massachusetts, have exclusive jurisdiction over any dispute arising out of these Terms or the Site, and you consent to that jurisdiction.

10. Changes to these Terms

We may update these Terms from time to time. We will post the updated Terms on this page with a new "Last updated" date. Continued use of the Site after changes take effect means you accept them. These Terms do not alter a signed Customer Agreement.

11. General

These Terms, together with the Privacy Policy, are the entire agreement about use of the Site. If any provision is unenforceable, the rest remains in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets. Notices to Aperon about the Site must be sent to the address below.
